Punchpass Pty Ltd, referred to below as Punchpass, we, or us. You are the partner.
By joining the Punchpass Partner Programme you agree to these terms.
1. Who can join
Punchpass is only available in some countries, and you may only refer businesses located in a country where we operate. At the date of these terms that is Australia, Canada, Germany, Ireland, the Netherlands, New Zealand, Singapore, Spain, the United Arab Emirates, the United Kingdom and the United States.
We add countries over time and will publish the current list on the partner page. Commission is not payable on a business in a country we do not serve, and we may decline or close an application from outside those markets.
You must be at least 18 years old.
Joining is by application and interview. You apply and book a call with us, and we decide afterwards whether to invite you into the programme. We may decline any application, and we do not have to give a reason.
2. What you do
You promote Punchpass and send businesses to us using the personal link and code in your partner dashboard. How you do that is up to you, within the rules in section 6.
You are an independent contractor. You are not an employee, agent, or representative of Punchpass. You cannot sign anything on our behalf, make promises about the product on our behalf, quote prices we have not published, or hold yourself out as working for Punchpass. You are responsible for your own taxes, insurance and business costs.
3. What we pay you
30% of the recurring subscription fee a referred business pays for their Punchpass plan, for as long as they stay a customer. There is no cap and no end date.
Commission is paid on recurring subscription plan fees only. It is not paid on anything else we sell or charge for. That includes, and is not limited to:
- Message credits, text message, notification or any usage based charges
- Hardware, stampers, starter kits, replacement equipment, and any shipping or freight
- Setup, onboarding, training, migration or professional services fees
- One off purchases, add ons, credits, and any product or service we introduce in future that is not a recurring subscription plan fee
- Taxes, duties, and payment processing fees
Commission is calculated on the amount we actually collect for the subscription fee, after any discount, and excluding taxes and refunded amounts.
We publish which plans and fees earn commission in your partner dashboard, and we may update that list at any time. Any change applies from the date we publish it and does not affect commission you have already earned.
Payments are made monthly on the 15th, in United States dollars, for commission earned and approved in the previous month. You choose your payout method when you join. There is no minimum payout amount.
You must provide valid tax information (a W-9 or W-8BEN, as applicable) before we can pay you. We may withhold payment until we have it.
4. Attribution: whose referral is it
A referred business is attributed to the first partner whose link or code they use. First link wins, and it stays won. If a business later uses a different partner's link, the original attribution does not change.
Attribution is tracked for 90 days from the click.
We use the records in our tracking system to determine attribution, and our determination is final.
5. When commission is not paid, or is taken back
We do not pay commission on:
- Businesses that were already customers, or that were already in conversation with us before your referral.
- Yourself, any business you own or control, or any member of your household.
- Referrals generated through fraud, misrepresentation, incentivised sign ups, or any breach of these terms.
If a business refunds, charges back, or their payment fails after commission has been paid, that commission is reversed and deducted from your next payout. If your balance goes negative and you stop referring, we may ask you to repay it.
We may withhold or reverse commission where we reasonably believe fraud or a breach of these terms has occurred. We will tell you why.
6. One account per person
You may hold one partner account. Duplicate accounts, or accounts created to claim bonuses more than once, will be closed and any unpaid commission on them forfeited.
7. How you may and may not promote us
You must:
- Clearly disclose that you earn commission, in every piece of content that promotes Punchpass. In the United States "#ad" or "paid partnership" on the content itself is enough. In other countries you must follow local rules, including labelling in the language of the post where required.
- Be accurate. Use our published prices and features. Do not invent claims, guarantees, results or endorsements.
- Follow the rules of any platform you post on.
You must not:
- Bid on "Punchpass", or any misspelling or variation of it, in paid search advertising, or use our name in a display URL.
- Register domains, social handles or app names containing "Punchpass".
- Send unsolicited bulk email or messages, post to sites you do not own without permission, or use spam, bots or automated sign ups.
- Offer cash rebates or your own incentives to businesses in exchange for signing up, unless we agree in writing.
- Promote Punchpass on content that is illegal, hateful, sexually explicit, or otherwise likely to damage our reputation.
- Use our logo, name or materials in ways that suggest you are Punchpass, or modify our brand assets beyond the guidance we supply.
We grant you a limited, non exclusive, revocable licence to use our name and brand assets solely to promote Punchpass under these terms. That licence ends when your participation ends.
If we supply content, footage, music or templates, you may use them to promote Punchpass and nothing else. We may reshare content you make about Punchpass on our own channels, with credit.
8. Video payments, where offered
Where we agree to pay you per approved video, payment is made only for videos we approve in writing against the published checklist. Approval is at our discretion. Videos that are not approved are not paid. We may change or end video payments at any time, and doing so does not affect commission you have already earned.
9. We can change the programme
We may change these terms, including commission rates, at any time.
Rate changes apply to new partners only. If your rate changes, you keep the rate you joined on for the businesses you have already referred, and we will give you at least 30 days notice before any change applies to your future referrals.
We may change the rest of these terms with 30 days notice by email or in your partner dashboard. Continuing in the programme after that means you accept the change.
10. Ending it
You may leave at any time by telling us.
We may suspend or end your participation at any time, with notice, and immediately without notice where we reasonably believe you have breached these terms or acted fraudulently.
If you leave, or we end your participation without cause, we pay commission earned up to that date on the next normal payout run, and no commission after it. If we end your participation because of fraud or a serious breach, unpaid commission may be forfeited.
11. Confidentiality
Anything we share with you that is not public, including unreleased features, pricing plans, customer information and programme performance data, stays confidential. Customer information you see in your dashboard may only be used to support your own referrals, never for any other purpose, and never shared or sold.
12. Liability
The programme is provided as is. To the extent the law allows, Punchpass is not liable for indirect or consequential losses, lost profits, or lost opportunity arising from the programme. Our total liability to you is limited to the commission owed to you at the time of the claim.
Nothing in these terms limits any liability that cannot be limited by law, including under the Australian Consumer Law where it applies.
13. Projections are not promises
Any earnings figures, calculators or examples we publish are illustrations based on assumptions. They are not a guarantee, forecast or representation of what you will earn. What you earn depends entirely on the businesses you refer and whether they stay.
14. Law
These terms are governed by the laws of Queensland, Australia, and the courts of Queensland have non exclusive jurisdiction.
